Terms of Service

These Terms of Service ("Terms") govern all business transactions, orders, and commercial relationships between PVA Film ("we", "our", "us") and our customers ("Client", "you", "your"). By placing an order or using our services, you agree to be bound by these Terms.
1. General
These Terms constitute a legally binding agreement between the Client and PVA Film. They apply to all quotations, orders, contracts, and deliveries of products and services unless explicitly superseded by a written agreement signed by both parties. PVA Film reserves the right to update these Terms at any time, with changes effective upon posting to our website.
2. Products & Specifications
All product descriptions, specifications, and performance data are provided in good faith and are based on standard testing methods. Actual product performance may vary depending on application conditions and environment. PVA Film reserves the right to make minor modifications to product specifications without prior notice, provided such modifications do not materially affect product performance. Custom specifications agreed upon in writing will take precedence over standard specifications.
3. Orders & Quotations
Quotations are valid for 15 calendar days unless otherwise stated. Orders are considered accepted only after written confirmation by PVA Film. The Client is responsible for verifying all specifications, quantities, and prices stated in the order confirmation. Any changes to a confirmed order must be submitted in writing and are subject to acceptance by PVA Film.
4. Pricing & Payment
Prices are quoted in USD unless otherwise agreed. All prices are exclusive of taxes, duties, and shipping costs unless explicitly stated. Payment terms are 30% deposit with 70% balance payment against copy of shipping documents, unless alternative terms are agreed in writing. For first-time clients, full payment may be required before production. Late payments may incur interest at 1.5% per month.
5. Shipping & Delivery
Delivery dates are estimated and provided in good faith but are not guaranteed. PVA Film shall not be liable for any delays caused by force majeure events, shipping carrier issues, customs clearance, or other circumstances beyond our reasonable control. Risk of loss or damage passes to the Client upon delivery to the carrier for EXW and FOB terms, or upon arrival at destination for CIF and DDP terms.
6. Returns & Claims
Any claims for defects, shortages, or non-conformity must be submitted in writing within 14 days of receipt. Samples should be retained for reference. PVA Film will investigate all claims in good faith. If a defect is confirmed, we will, at our option, replace the product, issue a credit, or provide a refund. Liability is limited to the invoice value of the non-conforming products.
7. Limitation of Liability
In no event shall PVA Film be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, production downtime, or loss of business opportunity, even if advised of the possibility of such damages. Our total liability for any claim arising from a transaction shall not exceed the purchase price paid for the products giving rise to the claim.
8. Intellectual Property
All intellectual property rights in our products, formulations, designs, and branding remain the property of PVA Film. Custom formulations developed specifically for a Client remain the intellectual property of PVA Film unless otherwise agreed in writing. Clients retain no rights to reproduce our proprietary technologies or formulations.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms or related transactions shall be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to the jurisdiction of the courts of Zhengzhou, Henan, China.
